March InstaCellar eGift Card Offer — Terms & Conditions

These Terms & Conditions (“Terms”) govern the March InstaCellar Promotional eGift Card Offer (the “Offer”) provided by Wine Racks America Inc. (“Company,” “we,” “us,” “our”). By participating in the Offer, you agree to these Terms.
1. Offer Summary
During the Promotion Period (defined below), eligible customers who purchase qualifying InstaCellar products online will receive a promotional eGift Card delivered by email equal to 10% of the eligible InstaCellar merchandise subtotal, up to a maximum eGift Card value of $1,000 USD per order, subject to these Terms.
2. Promotion Period
The Offer is valid for qualifying online orders placed between:
February 26, 2026 at 12:00:00 PM Mountain Time and March 31, 2026 at 11:59:59 PM Mountain Time (the “Promotion Period”).
3. Eligibility
This Offer is available to customers in the United States only.
To qualify:

The order must be placed through the online checkout on our website during the Promotion Period.

The order must ship to a valid address within the United States (and, if applicable, Washington, D.C.).

The order must include Eligible InstaCellar Items (defined below).

The order must be paid and remain in good standing (i.e., not canceled, refunded, or charged back).
Excluded channels / transactions:
-
Phone orders, custom quotes, purchase orders, offline invoices, or other non-eCommerce transactions are not eligible.
We may require a valid email address and/or a customer account to deliver and/or redeem the promotional eGift Card.
4. Eligible Products
“Eligible InstaCellar Items” are InstaCellar products sold on our website that are designated as eligible for this Offer at the time of purchase.
The following are excluded from eligibility (not eligible to earn a promotional eGift Card):

Taxes, shipping, delivery charges, and similar fees

Gift cards (including purchases of gift cards)
-
Non-InstaCellar products
-
Any items explicitly marked as excluded in the cart, checkout, or on the product page
If an order includes both eligible and non-eligible items, only the eligible InstaCellar portion is used to calculate the promotional eGift Card value.
5. Promotional eGift Card Value Calculation
The promotional eGift Card value is calculated as:
Promotional eGift Card Value = min(10% × Eligible InstaCellar Merchandise Subtotal, $1,000.00)
“Eligible InstaCellar Merchandise Subtotal” means the net merchandise value of Eligible InstaCellar Items after product-level discounts (if any) and excluding taxes, shipping, delivery charges, and non-eligible items.
Examples:

$1,200 eligible InstaCellar subtotal → $120 promotional eGift Card

$6,000 eligible InstaCellar subtotal → $600 promotional eGift Card
-
$12,500 eligible InstaCellar subtotal → $1,000 promotional eGift Card (maximum)
Limit: One (1) promotional eGift Card per qualifying order, up to $1,000 per order.
6. Issuance & Delivery

The promotional eGift Card will be delivered by email to the email address used at checkout.

The promotional eGift Card is issued after the qualifying order is fulfilled.

Expected delivery: within fourteen (7) days after fulfillment, provided the order remains in good standing.
We are not responsible for delivery failures due to incorrect email addresses, spam filtering, firewall settings, or other issues outside our control.
7. Returns, Refunds, Cancellations, and Chargebacks
If a qualifying order (or any portion of Eligible InstaCellar Items) is returned, canceled, refunded, or subject to chargeback, the promotional eGift Card value may be reduced, revoked, disabled, or invalidated to reflect the final eligible InstaCellar subtotal.
If a promotional eGift Card has already been issued and/or redeemed, we reserve the right, to the extent permitted by law, to:

Deduct the promotional eGift Card value (or a prorated portion attributable to returned/refunded eligible items) from any refund; and/or
-
Disable or adjust the remaining balance of the issued promotional eGift Card.
8. Redemption & Restrictions
The promotional eGift Card:

Is redeemable only at Wine Racks America toward eligible purchases made online.
-
Has no cash value and is non-transferable, except where required by law.
-
Cannot be redeemed for cash or exchanged for cash equivalents, except where required by law.

May not be used to purchase gift cards, unless explicitly permitted by us in writing.
-
Must be entered at checkout to redeem.
Use of the promotional eGift Card is also subject to our general gift card and website policies (including any restrictions and consumer rights that apply under applicable law).
9. Fees; Expiration
Expiration: The promotional eGift Card expires ninety (90) days after the issuance date (“Expiration Date”), except where prohibited or restricted by applicable law. Where prohibited or restricted, the Expiration Date will be extended or the card will be treated in accordance with applicable law.
Fees: No dormancy, inactivity, or service fees will be charged on the promotional eGift Card, except where permitted by law.
10. Stacking and Combination Rules
Unless expressly stated otherwise:

This Offer cannot be combined with other promotions or discount codes.

We may exclude certain discount codes or promotional events from eligibility for the Offer.

Any attempt to manipulate, abuse, or circumvent the Offer (including multiple orders intended to bypass limits) may result in disqualification.
11. Fraud, Abuse, and Disqualification
We reserve the right to cancel, suspend, modify, or disqualify any order/customer, in our sole discretion, if we suspect fraud, abuse, technical error, or violation of these Terms. Void where prohibited.
12. Changes or Termination
We may modify, suspend, or terminate the Offer at any time due to errors, fraud, legal requirements, or other circumstances. Changes will not affect already-placed qualifying orders unless required by law or necessary to prevent fraud/abuse.
13. Disclaimer; Limitation of Liability
To the maximum extent permitted by law, we are not responsible for technical failures, system outages, or other issues that may affect Offer participation or eGift Card delivery. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising out of or relating to the Offer.
14. Governing Law; Venue
These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles, except where consumer protection laws require otherwise. You agree that any dispute arising from or relating to this Offer will be brought in the state or federal courts located in Utah, and you consent to personal jurisdiction and venue in such courts, except where prohibited by law.
